Due Diligence 

Due Diligence is a crucial process for both trusts looking to expand or for schools looking to join an existing Multi Academy Trust (MAT), the aim being to manage the significant risks associated with the transfer. The process is equally important for schools looking to create their own new MAT to ensure they choose the right partners.

Our Due Diligence process is specific to each assignment, driven by the requirements of our clients. For each case we adopt a commercial approach, interpreting and prioritising issues in relation to their impact on the transfer. The team employed is a mixture of education specialists and corporate finance executives used to conducting due diligence in a commercial environment.

Investigation work is carried out on site or using a data room and is tailored to meet our client’s needs. The majority of assignments include a review of the following:

  • Budgets and management accounts for the previous years.
  • Business plan and cashflow forecasts for the next 3 years, including assumptions.
  • Pupil number projections and historic census data.
  • Management team and other key employees, reviewing remuneration packages, qualifications, length of service and personnel issues.
  • Funding agreements.
  • Board and committee minutes.
  • Internal audit reports.
  • Risk registers.

As they arise, we inform you of key findings to assist in deal negotiation. We structure our written findings so that our opinions are clearly conveyed, in addition to the factual content. Meaningful recommendations are made to manage key risks and to help inform the Trust Board’s or Local Governing Body’s decision.
